Terms and Conditions

1) Parties to the Contract

The parties to the contract are as follows:

Servitel Ltd VAT MT21271925, which operates the online service www.xdm.it;
The Customer, i.e. the natural or legal person who has placed an order through the website www.xdm.it, which has been accepted by Servitel.

2) Application and Modification of the General Terms and Conditions of Sale

The Customer is required to read the general terms and conditions made available on the website www.xdm.it in order to allow their storage and reproduction, pursuant to art. 12 of Legislative Decree 70/03. By placing an order as described below, the Customer declares that they have read all the information and instructions provided during the purchase process and fully accept the General Terms and Conditions of Sale and the information contained in the order form. Servitel reserves the right to change these General Terms and Conditions of Sale by posting such changes on this page of the website. The applicable General Terms and Conditions of Sale are those in effect at the time the order is placed online. Any changes will be effective from the date of publication on the website.

3) Website Registration

Access and registration to the website is reserved exclusively for users over the age of 18. By registering, the user undertakes to provide the personal information requested during the registration process and the provision of the service, ensuring that it is current, complete, and truthful, and to promptly update it and maintain its confidentiality. The Seller reserves the right to take legal action against any violation or abuse, in the interest and protection of all consumers. By accepting these Conditions of Sale, the Seller is also exempt from any liability arising from the issuance of incorrect tax documents due to errors in the data provided when placing the online order. The customer is solely responsible for ensuring their correct entry.

4) Service Features and Prices

There is no monthly fee for the services, with the exception of the Relist service on eBay, which costs €40.00 per month. The other services are based on a sales commission. Details are available on the following page: Prices. At the beginning of each month, the Customer will receive an email summary of received orders, detailing the amount owed to XDM.IT. Since orders may be in currencies other than the euro, the conversion rate used is the official ECB fixing rate on the last day of the month. Payment of commissions must be made within 7 days of receipt. Otherwise, the publication of new items will be blocked. In the event of non-payment, Servitel Ltd may, at its sole discretion and starting from one week of payment delay, cancel all listings generated through the xdm.it service and present on the eBay, Delcampe, Hipstamp, Hippostcard, Oldthing, and Abebooks websites.
Note: If the monthly commissions do not reach 29 euros, a flat rate of 29.00 euros will be invoiced.

5) Order placement, order confirmation, order acceptance

The Customer may only purchase services listed on the website at the time of order placement and viewable online at www.xdm.it, as described in the relevant information sheets. Correct receipt of the order is confirmed by Servitel via an email sent to the email address provided by the Customer when placing the order. This confirmation message will include the date and time the order was placed and a customer order number, which must be used for all further communications with Servitel. If the order is not accepted, Servitel guarantees to notify the Customer. The ordered service will be activated within the normal processing times and in any case no later than three days after receipt of the order. Service activation normally occurs within 24 business hours. All information about the services on www.xdm.it is not binding on the Seller and is subject to change at any time. By submitting an order electronically, the Customer acknowledges and declares that they have read and fully accept the General Conditions of Sale.

6) Invoicing

An invoice will be issued for each order placed online, regardless of whether the customer is a private individual, a professional, or a company with a VAT number. If the customer is a private individual, the invoice will be issued using the tax code that must be entered during the order process.

7) Listing Fees

Listing fees on eBay, Delcampe, Hipstamp, Oldthing, and Abebooks are the sole responsibility of the customer and will be settled directly between the parties. Servitel Ltd is a third-party company with no affiliation with eBay, Delcampe, Hipstamp, Oldthing, or Abebooks. It does not advance listing fees, which are managed directly between the Customer and the listing service provider.

8) Monthly Renewal

The services provided by xdm.it are automatically renewed. The Customer is free to cancel the purchased service by the 20th of each month. If the cancellation is not made by this date, the Customer is obligated to pay the sales commission (or the flat rate of €29.00) for the following month. In the event of default, Servitel Ltd. may, at its sole discretion and starting from one week of payment delay, delete all listings generated through the xdm.it service and present on the eBay, Delcampe, Hipstamp, Hippostcard, Oldthing, and Abebooks websites.

9) Operation

The xdm.it service consists of automatically publishing items from the Customer's e-commerce site based on Woocommerce, Shopify, or Wix on the sites chosen by the Customer, including international eBay, Delcampe, Hipstamp, Hipcomic, Hippostcard, Oldthing, and Abebooks. The purpose of the service is to automate all functions as much as possible. Xdm.it automatically translates the Italian texts of the items on the Customer's e-commerce site into the languages ​​chosen by the Customer, via a paid service. The Client is free to choose the sites on which to publish. Translations are performed by our AI-based system and are included in the monthly fee. The Client agrees to the addition of the text "This item is listed via xdm.it software" at the end of the description.

10) Prohibited Items

It is the Client's sole responsibility to be aware of any restrictions on the sale of particular products in certain countries/states. Under no circumstances can xdm.it be held responsible for the publication of items that violate local regulations.

11) Right of Withdrawal

The right of withdrawal does not apply to the sale of our services. Pursuant to Article 52 of the Consumer Code, for service contracts, following the complete provision of the service, when performance has begun with the consumer's express consent and acceptance of the loss of the right of withdrawal following full performance of the contract.

12) Communications and Complaints

Written communications to the Seller and any complaints will be considered valid only if sent to the following address: Servitel Ltd The Penthouse, 20 Lyons Range Court, Bisazza Street, Sliema SLM 1640 - Malta, or by email to info@servitelit.com. In the communication, the Customer must indicate their residence or domicile, telephone number, order number, and the email address to which they wish the Seller's replies to be sent.

13) Jurisdiction

For any dispute, the competent court is the Court of Malta.

15) Failure to Pay Invoices

Failure to pay invoices for the monthly fee and/or sales commissions will result in the cancellation of the items on all sales sites.
